Terms and Conditions for Auction Consignors

 

 1. Introduction

 

These Terms and Conditions ("Terms") govern the consignment of farm equipment, construction equipment, and vehicles ("Items") for auction by AEC Equipment and Auctions ("AEC," "we," or "us"). By consigning Items to AEC for auction, you ("Consignor," "you," or "your") agree to be bound by these Terms.

 

 2. Consignment Process

 

 2.1 Item Listing

- Consignor agrees to provide accurate and complete descriptions and photographs of the Items to be consigned.

- AEC reserves the right to reject any Item for consignment at its sole discretion.

- If the Item runs and/or moves, Consignor must provide a video demonstrating this for inclusion in the listing.

 

 2.2 Auction Listing

- AEC will list the Items for auction on its platform.

- AEC determines the starting bid price and auction duration for each Item.

- All Items are sold to the highest bidder with absolutely no reserves.

 

 3. Item Storage and Pickup

 

 3.1 Consignor's Responsibility

- Items remain in the possession of the Consignor until the auction concludes and a sale is completed.

- Consignor must store Items in a secure and accessible location until picked up by the buyer.

 

 3.2 Buyer Pickup

- Once an Item is sold, the buyer will be responsible for arranging pickup.

- Consignor agrees to coordinate with the buyer for pickup within a reasonable timeframe.

- Both Consignor and buyer must inform AEC when the Item has been picked up.

 

 4. Payment and Fees

 

 4.1 Payment Release

- Payment will be released to the Consignor once AEC receives confirmation from both the buyer and Consignor that the Item has been picked up.

 

 4.2 Payment Methods

- ACH payment is available for a $100 fee. Consignors opting for ACH payment must provide accurate bank account information.

- Checks are mailed to Consignors at no additional cost.

 

 5. Termination of Consignment

 

 5.1 Prohibition of Termination

- Termination of consignments by the Consignor is strictly prohibited.

- If the Consignor terminates the consignment for any reason, they must make an immediate payment to AEC of a minimum of $1,000 or 5% of the estimated sale value, whichever is higher.

 

 6. Consignor Warranties and Representations

 

- Consignor represents and warrants that they have legal title to the Items and the right to consign them for auction.

- Consignor guarantees that the Items are as described in the auction listing and are free of liens and encumbrances.

- Consignor must disclose any major issues with the Items, such as a missing engine, fire damage, seized motor, and other significant defects.

- If a buyer discovers undisclosed major issues after the sale, AEC reserves the right to charge the Consignor a minimum fine of $500 or 30% of the sale price, whichever is higher.

 

 7. Liability and Indemnification

 

- AEC is not liable for any damage or loss of Items while in the possession of the Consignor.

- Consignor agrees to indemnify and hold AEC harmless from any claims, damages, or expenses arising from the consignment and sale of the Items.

 

 8. Governing Law

 

- These Terms are governed by and construed in accordance with the laws of the state in which AEC operates, without regard to its conflict of law principles.

 

 9. Amendments

 

- AEC reserves the right to modify these Terms at any time. Consignors will be notified of any changes, and continued consignment of Items constitutes acceptance of the modified Terms.
